Under a separate license agreement, we provide RdfTool^TM at no cost so you can set up the banner swapper control files for your site. The RdfTool^TM Help system also explains some of the options that are available when you use BannerAds^TM as a banner swapper on your Web page(s).

BannerAds^TM is guaranteed to perform substantially as is described in its documentation, and on its Web page. If an operating error occurs, L5 Software will make a reasonable effort to correct the problem. Please use our Bug Report form for reporting bugs or difficulties you have while running the program. We are also open to suggestions or requests for future enhancements. Please use our Software Suggestions form for suggestions.

Before purchasing BannerAds^TM, you must tell us who you are. BannerAds(tm) SOFTWARE LICENSE

You should carefully read the following terms and conditions before
purchasing or installing the program.  YOU INDICATE YOU HAVE READ,
UNDERSTAND, AND ACCEPT THE TERMS OF THIS AGREEMENT, WHICH INCLUDES THIS
SOFTWARE LICENSE AND THE LIMITED WARRANTY (collectively known as the
"Agreement"), BY PURCHASING OR INSTALLING THE PROGRAM.  IF YOU DO NOT
ACCEPT OR AGREE TO THESE TERMS, DO NOT PURCHASE, INSTALL OR USE THE
PROGRAM.

L5 Software Development (the "Licensor") retains ownership of and title to
BannerAds(tm) and its instructions (the "Software"), including all subsequent
copies on any media.  The program and its accompanying instructions, whether
printed or electronic, are copyrighted materials.  By purchasing a copy of
the Software, the price you (the "Licensee") pay buys the disks the program
is distributed on (if any) and any accompanying documentation, and you are
granted a non-exclusive License to use the Software under the following
conditions:

YOU MAY: 

   - Use the Software originally distributed either electronically or on any
     physical media, provided the Software is only used on a single Internet
     or intranet Web site.

   - Call the Software from any number of locations within the single
     licensed Web site, using any number of banner Registration Definition
     Files (RDFs).

   - Freely use, display, or otherwise distrubute the selected graphic images
     and HTML links without further royalty arrangements.

   - Make a reasonable number of backup copies of the Software for archival
     purposes only.

   - Use the Software on a network, file server or virtual (RAM) disk,
     provided it is used solely on a single Web site.

   - Transfer the Software, its documentation, and all copies thereof on a
     permanent basis to a third party, provided the new owner understands,
     agrees to and accepts the License terms, and the Licensor is notified in
     writing of the transaction.

MULTIPLE-SITE LICENSE HOLDERS ALSO MAY: 

   - Allow use of the Software on more than one Internet or intranet Web
     site, provided use is limited to the number of sites for which a license
     has been purchased.

YOU MAY NOT: 

   - Make copies of the Software, documentation and/or program disks, except
     as described above.

   - Loan, rent, sub-license, time-share, or otherwise transfer the
     BannerAds(tm) banner swapper program (in any form, manner or media)
     and/or its documentation in or on any temporary form or basis.

   - Alter, modify, or otherwise adapt the Software and/or its documentation,
     including, but not limited to, translation, decompilation, disassembly,
     or creation of derivative works.

   - Make copies of the Software for any other users, in any form or for any
     reason: You may NOT distribute, give, supply, or otherwise make
     available a copy of BannerAds(tm) to any other person or entity.

LICENSE TERM:

   The License granted is effective until terminated.

   This License and your right to use the Software are automatically
   terminated if you fail to comply with any provision of the Agreement.

   You may terminate your License at any time by returning the Software and
   its documentation, together with all copies, to L5 Software Development
   and destroying all records and copies the BannerAds(tm) banner swapper
   program in your possession.

YOUR OBLIGATIONS: 

   - You, your employees, and your agents, are required to protect the
     confidentiality of the BannerAds(tm) banner swapper program, and to
     provide reasonable means to assure that copies of the Software are not
     made in violation of the License Agreement.

   - You must retain all archival (backup) copies of the Software in your
     possession, and reproduce the copyright notice on each copy.

   - Upon termination of the Agreement, you must immediately destroy any
     copies of the BannerAds(tm) banner swapper program, documentation,
     disks, and any copies thereof in your possession.

L5 Software Development retains all rights not expressly granted by this
License.  Nothing in this Agreement constitutes a waiver of L5 Software
Development's rights under interplanetary, international or United States
copyright laws and/or any other planetary, national, federal and/or state
laws.  The invalidity or unenforceability of any provisions of this Agreement
shall not affect the remaining portions thereof.

LIMITED WARRANTY:

   L5 Software Development warrants the following items: 
       - The Software will substantially conform to published specifications
         and in accordance with the documentation, provided that it is used
         on the computer hardware and with the operating system(s) for which
         it was designed, and that it is properly installed.

       - The computer disk on which the Software is distributed, and its
         documentation, are free from defects in materials and workmanship.

   L5 Software Development will replace defective media or documentation or
   correct substantial errors at no charge provided you return the defective
   item with proof of purchase to L5 Software Development within 90 days of
   the date of delivery.  If L5 Software Development is unable to replace
   defective media or documentation or correct substantial errors, L5
   Software Development will refund the license fee.  These are your sole
   remedies for any breach of warranty.

   Except as specifically provided above, L5 Software Development makes no
   warranties or representations, either express or implied, with respect to
   this Software and/or the documentation, including their quality,
   performance, merchantability, and/or fitness for a particular purpose.

   In no event will L5 Software Development be liable for direct, indirect,
   special, incidental, or consequential damages arising out of the use of or
   inability to use the Software and/or documentation, even if advised of the
   possibility of such damages.  In particular, L5 Software Development is
   not responsible for any costs including, but not limited to, those
   incurred as result of lost profits or revenue, loss of use of the
   Software, loss of data, the cost of recovering such Software or data, the
   cost of substitute software, or claims by third parties.  In no case shall
   L5 Software Development's liability exceed the amount of the license fee.

   The warranty and remedies set forth above are exclusive and in lieu of all
   others, oral or written, express or implied.  No dealer, distributor,
   agent, or employee is authorized to make any modification or addition to
   this warranty.

   Some states do not allow the exclusion or limitation of implied warranties
   or limitation of liability for incidental or consequential damages, so the
   above limitation or exclusion may not apply to you.

TECHNICAL SUPPORT:

   Technical support is available to registered users as a last resort, if
   you are unable to resolve problems with BannerAds(tm) from reading its
   documentation or looking in the Frequently Asked Questions (FAQ) database. 
   Please be sure you have checked thoroughly in looking for answers before
   calling for technical support, to save both your time and ours.

ON COPYRIGHTS AND SUCH MATTERS:

   BannerAds(tm) is copyrighted material.  This is not to limit distribution
   of the program or use of its concepts: They are useful tools we'd like to
   see widely utilized.  A lot of effort was expended developing this program
   so you could easily use it to simplify your work and enhance your Web
   sites.  Our copyrights are meant to support that effort to insure it's
   properly rewarded, to encourage future product development.
